The Ministry of Energy of the Republic of Lithuania invites experienced professionals to join KN Energies, an international energy terminals operator, by applying for the position of Independent Member of the Board for a four-year term of office, commencing in April/May 2026.
KN Energies’ Board is composed of six members – four independent professionals and two civil servants – and plays a central role in shaping the Company’s long-term direction, governance standards and strategic priorities.
Independent Board Members contribute external expertise and an objective perspective, working at the highest level of corporate governance on issues ranging from strategy and risk oversight to international development, infrastructure resilience, sustainability and corporate governance. This role is suited to senior leaders who wish to actively contribute to the strategic development of a company operating in a dynamic, international energy environment.

General Requirements (mandatory)
Hold a university degree or equivalent higher education.
Be fluent in English (minimum level B2).
Have an impeccable reputation.
Not be deprived of or restricted in the right to hold the position or perform the assigned functions.
Not have been dismissed within the past five (5) years from a sole or collegial governing body due to improper performance of duties.
Not be a career civil servant involved in the formulation of state policy in the economic sector in which the Company operates.
Not be a state politician or a political (personal) trust civil servant.
Not have relationships that could result in a conflict of interest when serving on a collegial governing body.

Depending on competencies, candidates may be appointed as members of Board committees, including:
Audit Committee
Remuneration and Nomination Committee
Appointment and Remuneration
Appointment to the Board of an international energy terminals operator operating in Lithuania and abroad.
Fixed monthly remuneration in accordance with Government Resolution No. 1092:
Not less than 1/4 of the Company’s CEO’s average monthly salary (gross) for an Independent Board Member.
Not less than 1/3 of the Company’s CEO’s average monthly salary (gross) if elected as Chair of the Board.

Please note that the selection procedure includes an interview. The final decision on appointment is taken by the General Meeting of Shareholders, taking into account the recommendations of the Selection Committee in accordance with the applicable selection procedure.
